JSC "Mortgage Refinancing Company of Uzbekistan" announces a competition for independent membership in the Supervisory Board.

Citizens of the Republic of Uzbekistan and foreign citizens can apply to participate in the competition. The competition is held based on the Regulation on the procedure for conducting a competition and selection of candidates for independent members of the Supervisory Board of JSC "Mortgage Refinancing Company of Uzbekistan" (hereinafter - UzMRC).

The start date for accepting applications for the competition: from 09:00 on February 28, 2025.

Deadline for submitting applications: March 28, 2025, until 18:00.

The main activities of UzMRC are:

  • providing financial resources to banks for mortgage loans issued or to be issued by them;
  • obtaining the right of claim for mortgage loans issued by banks;
  • placement of funds in mortgage securities issued by banks;
  • provision of consulting and information services related to the refinancing of mortgage loans;
  • remote provision of services (electronic services), acquisition of state securities of the Republic of Uzbekistan, shares in the authorized fund (authorized capital) of legal entities and their debt securities, placement of free funds in the bank as deposits.

 

Candidate participating in the competition shall submit the following documents:

  • copy of an identity document, copy of a labor book (if available) or documents confirming length of service, copy of a document on education;
  • reference from the place of work (resume);
  • letter of recommendation (if available);
  • application on compliance with independence criteria of the independent member of the Supervisory Board of UzMRC (Appendix 1).

 

Candidates should comply with the following criteria:

  • higher education in the relevant specialty (applicants with certificates and diplomas of study in foreign and international educational institutions are supported);
  • have management experience of three years or more;
  • A deep understanding of the processes related to the activities of UzMRC, market and industry activities;
  • have experience in developing and implementing organizational and sectoral strategies;
  • have experience in operational management;
  • have skills in conducting business contacts and negotiations with financial institutions, potential investors, consultants, and organizations;
  • understand the principles of corporate governance;
  • possess one or more professional skills in planning, finance, auditing, human resources, risk management, corporate governance, promotion.

 

Candidates who cannot eligible to participate in the competition:

  • a person who has worked for UzMRC and (or) affiliates of UzMRC for the last three years;
  • a shareholder owning (directly and (or) through affiliated persons) five or more percent of the voting shares of UzMRC;
  • A person who has a civil law relationship with a major client and (or) a major supplier of UzMRC and (or) its affiliated person. In this case, persons with whom there is a valid contract for an amount exceeding two thousand times the basic calculated value are recognized as a large client and a large supplier;
  • an employee of an audit organization that has provided audit services to UzMRC and (or) affiliated persons of UzMRC for the last three years;
  • a person who has been a member of the Supervisory Board of UzMRC for six consecutive years;
  • a person who has any agreements with UzMRC and (or) its affiliated persons, except for agreements related to ensuring the performance of the duties and functions of a member of the Supervisory Board;
  • a person who is a close relative or in-law relative (parents, brothers, sisters, sons, daughters, husband (wife), as well as parents, brothers, sisters and children of the husband (wife) of a person who is a member of the management and internal control bodies of UzMRC and (or) its affiliated persons or a person who has been a member of them for the last three years);
  • a person who is an employee of a state administration body or a state enterprise;
  • a person who does not meet the requirements established by the company's charter or documents approved by decisions of the general meeting of shareholders.

 

Requirements for candidates, expected duties and powers:

  • exercise the powers and duties of a member of the Supervisory Board, established by law and the charter of;
  • to act conscientiously and selflessly;
  • to act in the interests of UzMRC;
  • careful approach to decision-making regarding UzMRC;
  • making decisions independently, without taking into account personal and other interests.

APPLICATION

for compliance with the requirements for independent membership in the Supervisory Board

I am, __________________________ hereby certify as a candidate following:

  • I have a corporate manager qualification certificate (I refer to individuals who are not required to have a corporate manager qualification certificate);
  • I have not been tried for economic crimes or crimes against administrative order, have not been deprived of the right to hold official positions on the basis of court decisions, and have not been convicted of corruption offenses;
  • I have not worked in JSC "UzMRC" and (or) affiliated persons of JSC "UzMRC" during the last three years;
  • I am not a shareholder owning five and more percent of voting shares of JSC "UzMRC" (directly and (or) through affiliated persons);
  • I did not have and/or do not have at present civil legal relations with a major customer and/or major supplier of JSC "UzMRC" and/or its affiliated person;
  • I have not worked as a member of the Supervisory Board of UzMRC for six consecutive years;
  • I have not worked in the Supervisory Board of JSC "UzMRC" for six consecutive years;
  • I do not have any contracts with JSC "UzMRC" and (or) its affiliated persons (except for contracts related to ensuring the fulfillment of duties and functions of a member of the Supervisory Board);
  • Close relative or relative on the spousal side (father, mother, brothers, sisters, sons, daughters, husband (wife), as well as parents, brothers, sisters and children of the husband (wife);
  • I am not an employee of a public governing body or public entity.

I confirm that all information provided in this application, as well as the information contained in the documents and materials attached to it, is true and correct.

I realize that in case it is established that I have provided inaccurate, misleading and incorrect (false) information, I will be disqualified from the competition or the composition of the Supervisory Board (if it is determined after the election).
