Notification of the preemptive right of shareholders of the joint-stock company "Uzbekistan Mortgage Refinancing Company"

Informs that it was registered by the National Agency of Prospective Projects of the Republic of Uzbekistan on January 15, 2024 with number P0912-5.

Articles 35-36 of the Law on Protection of Joint-Stock Companies and Shareholders' Rights as well as "O’zIQMK" It is mentioned in paragraph 4.6 of the Articles of Association. When additional shares are issued by the company, shareholders of the company have a preferential right to purchase additional shares in accordance with the amount of shares in the authorized capital of the company. The term of applying the preferential right is 10 (o) days.

“O’zIQMK” formed as of December 22, 2023 We inform you that the shareholders registered in the register of JSC shareholders have the right to preferentially receive additional issued shares of the Company.

A shareholder with a preferential right must submit a written application stating his name and place of residence, the number of shares he will receive, and a document on the payment of the fee to "O’zIQMK” He has the right to exercise his preferential right in whole or in part by sending it to JSC. Such application within the validity period of this preferential right "O’zIQMK” must be submitted to the AJ.

The procedure for determining the number of shares that each shareholder has the right to receive on the basis of the preferential right is as follows: The ordinary shares owned by the shareholder are "O" zIQMK” Determines its share in the total of 132,790,200 ordinary shares previously placed by JSC and will be entitled to receive shares in this issue in a proportion equal to this share.

We inform you that the validity period of the preferential right will start on January 16, 2024, and will be 10 (o‘n) calendar days.

Remaining shares from January 26, 2024, the decision of the President of the Republic of Uzbekistan No. 1 PQ-394 "On financial support measures for the activities of the Uzbekistan Mortgage Refinancing Company JSC" - will be placed to the shareholders and investors specified in the appendix.

Payments for shares are made in the national currency of the Republic of Uzbekistan only in cash and (or) in non-cash form according to the procedure established by the law.
